These Terms and Conditions ("Agreement") govern your participation in the Superhuman Affiliate Program ("Program") operated by Superhuman Labs, Inc., a Delaware corporation ("Superhuman," "we," or "us"). By applying to and being accepted into the Program via our affiliate platform (Dub.co), you ("Affiliate," "you," or "your") agree to comply with and be bound by this Agreement.

1. Program Participation & Promotional Requirements

Affiliate agrees to:

• Share their unique affiliate link (provided by Superhuman via Dub.co) in all promotions or endorsements.
• Clearly disclose their partnership with Superhuman in accordance with the Federal Trade Commission's Endorsement Guidelines. All disclosures must: (i) be clear and conspicuous; (ii) be placed near the endorsement; (iii) use unambiguous language such as "I'm a paid affiliate for Superhuman" or "This post contains affiliate links for Superhuman"; (iv) not be hidden in a group of hashtags or links; and (v) be visible on all platforms and devices without requiring user action to view.
• Maintain published promotional content for a minimum of six (6) months unless otherwise requested by Superhuman.
• Avoid promoting any products or services that directly compete with Superhuman during the term of this Agreement without prior written approval from Superhuman.
• Not make or disseminate negative, false, or disparaging remarks about Superhuman or its products, services, or operations during or after the Term.
• Affiliate shall not make negative comparisons between Superhuman and its competitors that could harm Superhuman's reputation or business relationships.
• Not use prohibited promotional channels or methods, including but not limited to: (i) spam or unsolicited bulk emails; (ii) unsolicited text messages; (iii) misleading or deceptive advertisements; (iv) pop-up or pop-under advertisements; (v) adware, spyware, or any other malicious software; or (vi) any promotional method that violates applicable laws or regulations.

2. Content Rights and Intellectual Property

a. Partner Materials

Affiliate retains all right, title, and interest in content created solely by them in performance of the Program, excluding any Superhuman Promotional Materials or Marks.

b. Superhuman Materials

Superhuman retains all right, title, and interest in: (i) Superhuman’s products and services ("Products"), (ii) all associated trademarks, logos, trade names ("Marks"), (iii) promotional materials provided to Affiliate ("Superhuman Promotional Materials"), and (iv) any intellectual property developed under this Agreement other than Partner Materials, including feedback or suggestions from Affiliate ("Superhuman IP").

To the extent any rights in Superhuman IP vest in the Affiliate, the Affiliate assigns and transfers all right, title, and interest in and to Superhuman IP to Superhuman.

c. License to Marks

Superhuman grants Affiliate a limited, non-exclusive, non-transferable license to use its Marks and Promotional Materials solely in connection with performing the Program duties. Affiliate must obtain Superhuman's prior written approval for all content using Superhuman's Marks or Promotional Materials before publication. Use is subject to compliance with Superhuman's brand guidelines. Marks are proprietary, and no general license is granted. Affiliate may not register or use confusingly similar trademarks, service marks, or domain names.
